Introduction

Guillaume Planas, an individual entrepreneur, operates the trade name PNOEU (hereinafter PNOEU) and is registered under the number 510 896 087 00010 RCS Béziers, and has its registered office at 28 avenue du Cabernet 34350 Vendres.

Before using the services (hereinafter the Services) offered by PNOEU, you agree to read and accept these terms and conditions of use (hereinafter the TOS).

The PNOEU company is based in Europe.

By becoming a user (hereinafter the User), you agree to respect these Terms.

This commitment is effective by ticking the box "I have read and I accept the terms of use" located in the registration form. In the absence of such commitment, you can not continue your registration process and do not have access to the use of the Services offered by the website www.pnoeu.com (hereinafter the "Site").

The TOS apply to the exclusion of all other conditions, including those applicable to sales on the internet or through other channels of distribution and marketing.

These rules were enacted in compliance with the law in order to preserve the freedoms of users and ensure a quality internet service.

Having said this, it was agreed that:

Article 1: Object

The purpose of the TOU is to define the conditions for establishing relationships between professionals, between individuals or between professionals and individuals in the context of the purchase and resale of new or used tires.

The Site offers a service that can not be assimilated to a contract for the sale of goods.

Article 2: Access conditions

Equipment (hardware, software, etc.) and telecommunication charges for accessing the Services are the sole responsibility of the User.

2.1 Consultation

Anyone can view the Site without access conditions.

To be able to access the Services offered by the Site, the User must create an account on a "personal space" on which he can choose his password.

2.2 Registration Form

The registration form is required to access the Services.

For individuals :

• their email address
• an associated password

For professionals :

• The company name
• The Country
• The registration number for the Professional
• The intra-community VAT number for the professional
• The associated e-mail address and password.

This information may be modified at any time by the User under the conditions provided for in article 8 of the TOU.

Article 3: Service Delivery

3.1 Submission of an Offer

Any particular or professional User may submit one or more offers to sell the products listed below under the conditions provided for in the TOS (hereinafter the Offers).
To submit an Offer, the User "already logged in to his account" must fill out the proposed menu and specify:

• The type of products: Car / Tourism Tires, 4x4 / SUV, Baggage Trailer, Collection, Competition, Motorbike, Quad, Van / Utility, Trucks, Green area, agricultural / agro trailer, Forestry, Tire full / cellular, Industrial / Handling, Civil Engineering; complete wheels / wheels, Snow chains
• If new or used product
• width, height, wheels, diameter, brand, load, speed, remaining gum in% remaining gum in millimeters, general condition
• if the tires are identical, specify their quantity
• the price
• not mandatory 1 photo offered for the individual and 3 photos included in the professional package

Attention, the User can not define the title of the Offer which will be automatically generated from the information elements of the Offer.

The User may also optionally indicate the following information:

• adding additional photos;
• the recovery in 1st line:
  - every day for 7 days
  - every day for 30 days
  - every week during the entire duration of the Offer within a maximum of 3 months
• the urgent mention

Attention, any modification of the Offer after validation is paying.

The publication of the Offer is valid for an indefinite period free of charge. However, PNOEU reserves the right to cancel the publication of an Offer, provided that PNOEU informs the User by indicating the reason.

3.2 Request

For a search, the User can enter the keywords according to the search criteria.

If an Offer interests the User (hereinafter the Applicant), he will then consult the contact details of the seller to contact him or send an email through PNOEU if the seller has decided not to disclose his contact details.
The conclusion of the talks is the sole responsibility of the Offeror and the Plaintiff, PNOEU merely putting them in touch.

3.3 Tokens

The User has the possibility to buy tokens. After being bought, a token has a value of 1 euro.

3.4 Professional Showcase

For any Professional, it may also be possible to appear for free in the PNOEU showcase with mention of its specialty and scope of action

3.5 Advertising

Setting up an advertising network

Each registered user will have the opportunity to put ads online.

These ads will appear on the right sidebar of the site:

An advertisement is composed of: 

• 1 name
• 1 jpg or png video of 263 px wide and a maximum height of 400px
• a link
• a geographical area (optional) The user will be able to choose a geographical area in which the advertisement will be displayed

Advertising inserts will be randomly displayed to users.

An advertiser will be able to choose the duration of the advertisement | 1 month

1 year

Pre-publication advertising will be verified by PNOEU.
PNOEU reserves the right not to broadcast the advertisement if it considers that its content is any defamatory, racist, obscene or pornographic, all hateful or offensive, threatening, inciting or otherwise reprehensible.

Article 4: Rates and subscriptions

The Services offered to Users are in the following context defined prices are in euros, namely:

For any Professional, the following rates are proposed for the publication of an Offer:

Professional users are offered paid options according to the rates below:

• the addition of additional photos beyond the number included in the package: one (1.00) euros excluding tax the additional photo
• the recovery in 1st line:
  - every day for 7 days: five (5,00) euros excluding taxes
  - every day for 30 days: ten (10,00) euros excluding taxes
  - every day during the whole duration of the Offer within a maximum period of 3 months: fifteen (15,00 €) euros excluding tax
• the word "urgent": four (4,00 €) euros excluding tax for the duration of the offer
• the modification of the Offer: two (2,00 €) euros excluding taxes per change

At these prices is added the value-added tax whose rate is legally determined. In the event of a change in his rate, it will be immediately passed on.

4.2 Advertising rate for professionals

Showing an advertisement
An advertiser will be able to choose the duration of display of his advertisement, so for the insert, the price is:

For 1 month of broadcast (one language)
The price is: Fifteen (15,00 €) euros Without taxes

For 6 months of diffusion (one language)
The price is: Sixty and fifteen (75,00 €) euros Without taxes

For 1 year of diffusion (one language)
The price is: One hundred and twenty (120,00 €) euros Without taxes

For 1 month of broadcast (all languages)
The price is: Sixty (60,00 €) euros Without taxes

For 6 months of broadcast (all languages)
The price is: Three hundred (300,00 €) euros Without taxes

For 1 year of broadcast (all languages)
The price is: Four hundred and eighty (480,00 €) euros Excluding taxes

At these prices is added the value-added tax whose rate is legally determined. In the event of a change in his rate, it will be immediately passed on.

4.3 Determining the price of individual offers

For the submission of an offer by a particular user, the Service is granted free of charge within the limit of 5 simultaneous offers.

Individual Users are offered paid options according to the following rates:

• the addition of additional photos beyond the number included in the package: one (1,00) euros all taxes included the additional photo
• the return to the first line every day for 7 days: five (5,00) euros all taxes included
• every day for 30 days: ten (10,00) euros all taxes included
• every day during the whole duration of the Offer within a maximum period of 3 months: fifteen (15,00 €) euros all taxes included
• the words "urgent": four (4,00 €) euros all taxes included throughout the duration of the offer
• the modification of the Offer: two (€ 2.00) euros all taxes included per change
• each modification of the Offer: five (5,00 €) euros all taxes included

4.4 Determining Offers for Buying Tokens, Individual Users

For individual users, it will be possible to buy tokens whose value is degressive according to the quantity purchased according to the following scale:

• for a purchase value of ten (10,00) euros, all taxes included the user will receive 12 tokens
• for a purchase value of fifty (50,00) euros, all taxes included the User will receive 70 tokens
• for a purchase value of one hundred (100.00) euros, all taxes included, the User will receive 150 tokens
• for a purchase value of two hundred (200.00) euros, all taxes included the User will receive 330 tokens
• for a purchase value of five hundred (500.00) euros, all taxes included, the User will benefit from 900 tokens
• for a purchase value of one thousand (1,000.00) euros, all taxes included, the User will benefit from 2,200 tokens
• for a purchase value of five thousand (5.000,00) euros, all taxes included, the User will benefit from 16,000 tokens
• for a purchase value of ten thousand (10.000,00) euros, all taxes included the User will receive 50,000 tokens
• for a purchase value of twenty-five thousand (25,000.00) euros, all taxes included the User will receive 300,000 tokens

4.5 Determination of offers related to the purchase of tokens, business users

For professional users, it will be possible to buy tokens whose value is degressive according to the quantity purchased according to the following scale:

• for a purchase value of ten (10,00) euros, excluding taxes the user will receive 12 tokens
• for a purchase value of fifty (50,00) euros, excluding taxes, the User will receive 70 tokens
• for a purchase value of one hundred (100,00) euros, excluding taxes, the User will receive 150 tokens
• for a purchase value of two hundred (200.00) euros, excluding taxes the user will benefit from 330 tokens
• for a purchase value of five hundred (500,00) euros, excluding taxes, the User will benefit from 900 tokens
• for a purchase value of one thousand (1,000.00) euros, excluding taxes, the User will benefit from 2,200 tokens
• for a purchase value of five thousand (5.000,00) euros, excluding taxes, the User will benefit from 16,000 tokens
• for a purchase value of ten thousand (10.000,00) euros, excluding taxes the user will benefit from 50,000 chips
• for a purchase value of twenty-five thousand (25,000.00) euros, excluding taxes the user will benefit from 300,000 tokens

At these prices is added the value-added tax whose rate is legally determined. In the event of a change in his rate, it will be immediately passed on.

4.6 Delay or refusal of payment

Payment takes place when you subscribe to the service via a secure credit card payment.

As an exception, if another means of payment was granted, in default of payment at the agreed deadline, the User is informed that penalties will be due. The interest rate for late penalties will be five times the legal interest rate. This rate will be applied to all taxes included in the unpaid invoice, penalties being due without a reminder being required.

In the event that an invoice is not settled the day after the due date, PNOEU will be entitled to suspend the performance of the Services without the sending of a registered letter with acknowledgment of receipt of formal notice being necessary, and without this suspension being considered as a termination of the contract by PNOEU. All Offers will no longer be available. The User then has a period of 7 days to regularize the payment. In addition, PNOEU may terminate the contractual relationship under the conditions set out in Article 9 of the GTC.

All previously advertised rates may be subject to change without notice, with no application of feedback on purchases already made.

Article 5: Duration

5.1 Right of withdrawal

For Individual Users, in accordance with Article L. 121-20 of the Consumer Code, any subscription to a Subscription or a paid option may be refunded without penalty on simple request without reasons within 14 days from the subscription by sending an email addressed to office@pnoeu.com with the purchase confirmation slip that the User receives on his personal email and a bank account RIB used in electronic file format .

Upon receipt of all these documents within the time indicated, the User will be refunded the full amount paid within 10 days of receipt of an email.

Nevertheless, and in accordance with the provisions of Article L. 121-20-2 1 ° of the Consumer Code, the User may no longer exercise his right of withdrawal after use of the Subscription Services.

5.2 Duration of options

The duration of the options concluded is recalled below:

• indefinite period for the publication of an Offer
• the duration of the options is determined by their own characteristics when subscribing

5.3 Renewal

Subscribed options will not be tacitly renewed.
PNOEU will send an email informing of the end of the term extinguishing option. The user can then subscribe again to the options.

Article 6: Declarations and Obligations of PNOEU

6.1 Bonds

PNOEU is committed to providing Users with an online service that complies with the rules of the art and the law.

The Configuration required to benefit from the Services of the Site is:

• An up-to-date and functional internet browser
• A good connection
• Accepting cookies

In the event of suspension of access to the Services due to a computer breakdown or in case of impossibility of using the Services as a result of PNOEU during the duration of the options subscribed, PNOEU undertakes to do the necessary as soon as possible to restore access to the Services.

6.2 Responsibilities

PNOEU offers a connection service for the sale of tires and associated or similar products. In any case, PNOEU can not be held responsible in the place and place of Users.

At no time can PNOEU be considered the owner of the goods or responsible for the transportation and delivery of goods.

PNOEU is not responsible for cases of fraud, identity theft and other criminal offenses committed by Users through the Site and Services made available to them, or damage to the image or life deprived of a third person committed under the same conditions.

PNOEU reserves the right to safeguard any contentious content, in particular to make it available to the competent authorities.

PNOEU does not guarantee that the Services will be usable in the event of a failure of the User's Internet Service Provider, or in the event of non-functioning or poor access conditions caused by congestion on the Internet and for other reasons external to PNOEU and its providers, and having a character of force majeure as defined by the French courts.

Article 7: Obligations of the User

7.1 Bonds

The User agrees when subscribing to the Services offered:

Users who publish Offers undertake to comply with all legal obligations incumbent on them and to respect2 the terms of the Offer by showing good faith and diligence.

7.2 Liability

The User is solely responsible for the use of the data he consults, queries and transfers to the Site.

In the event that the responsibility of PNOEU is sought because of a breach by a User to the obligations incumbent on him under the terms of the law or the GCU, the latter agrees to guarantee PNOEU against any sentence pronounced against him finding his origin in the breach imputed to the User.

Article 8: Privacy

8.2 Cookies

8.3 Personal data

The private data are accessible by certain employees and subcontractors of PNOEU, strictly authorized for this purpose; while the public data are accessible from the internet by the other Users and visitors of the Site.

- The correspondence exchanged between the Users and with PNOEU;

Nevertheless, some personal data may have a public character: - The phone number released
- The email address
- The postal address
- The name and surname of the user
- The content posted by the User.

The information collected is subject to computer processing designed to connect Users in order to buy or sell the Products offered on the Site.

Article 9: End of contract

In the event of non-performance or poor performance by either Party of one or more of its obligations under the GCUs, the creditor Party to the unenforced obligation will address to the other debtor written notice of formal notice to perform the obligation incumbent upon him.

If, within 30 days of the date of first submission by the postal services of the notification, the obligation (s) have not been correctly executed, the Party may terminate the GCUs by sending a registered letter with acknowledgment of receipt without prejudice to any damages that may be claimed as a result of the breach or the non-performance of the obligation (s) in question. The termination will take effect automatically eight days after the first presentation by the postal services of the notification. During this period, the offending party may attempt to justify itself on the alleged facts.

- the breach of legal obligations by one of the Parties

In the case of serious misconduct, the Party may terminate the GCUs by written notice without any prior notice being required and without prejudice to the damages that may be required both as a result of the breach only as a result of the non-fulfillment of the obligation (s) in question. The cancellation will take effect automatically the day after the first presentation by the postal services of the registered letter with acknowledgment of receipt.

Article 10: Intellectual property rights

PNOEU is the owner of the rights concerning in particular but not limited to the Site, the mark, the logos, the texts contained on the Site, the graphics, and all the elements making it possible to ensure or facilitate the navigability within the Site (architecture, design, code pages, CSS pages and other elements).

All these elements may not be reproduced, used or represented in any form whatsoever, on any medium whatsoever and by any medium whatsoever, without the express permission of PNOEU, under pain of prosecution.

Article 11: Confidentiality

The Parties undertake to take all necessary precautions to maintain the strict confidentiality of the information exchanged. The Parties answer for themselves and their employees and representatives, their agents, suppliers, subcontractors and end customers.

The obligation of confidentiality will cease when information has become public without faults of either Party.

Article 12: Force majeure

Neither Party can be held responsible for the delay, non-performance or any other breach of its obligations since this failure results from an irresistible, unpredictable and external event (hereinafter "Force Majeure"). . The strike or social movements of the personnel of the Parties or of the partners of the Parties in which they intervene in the performance of the Service are considered to be Force Majeure.

In the event of force majeure, the performance of the obligations of the Party prevented from executing them shall be suspended, provided, however, that it immediately notify the other Party of its existence, make every effort to reduce the interruption, limit the consequences and resume the execution of the TOU once the disappearance or cessation of the event or circumstances of force majeure.

Insofar as the case of force majeure continues for a period of three months, any of the Parties may notify by registered letter with acknowledgment of receipt the termination of the TOS and the special conditions.

Article 13: Independence of the Parties

The Parties are independent. The GSC can not be assimilated to a company contract or a contract of employment.

Article 14: Applicable law

Any dispute arising from the execution of these Terms will be subject to French law, the language of interpretation of these Terms is the French language.

Article 15: Competent jurisdiction

Any dispute arising from the execution of these Terms or in connection with these Terms will be submitted to the competent courts on the French territory .

Article 16: Interpretation of the contract

The Terms are written in several languages. In case of contradiction, it is the French version which will prevail .

If one or more stipulations of these GCU were declared void (s) pursuant to a law, a regulation or following a final decision of a competent jurisdiction, the other stipulations will retain all their force and scope provided that the present UGC are not distorted, and that this does not lead to a significant imbalance of the obligations of the parties.

The fact that one party does not rely on a breach by the other party to any of the provisions of these Terms can not be interpreted as a waiver on his part to avail himself in the future of a such failure.

Article 17: Modification of the GTC

PNOEU may modify or supplement unilaterally the Terms. They will be directly applicable to Users.

All modifications replace and cancel the previous Terms and Conditions once they have been accepted by the User.
